Quick answers to common questions
An NDA (Non-Disclosure Agreement) is a legal contract where parties agree not to share confidential information. Use an NDA before: sharing business plans with potential investors or partners, hiring contractors who will access proprietary information, discussing potential acquisitions or joint ventures, and sharing technical trade secrets with vendors.
A one-way (unilateral) NDA: one party shares confidential information, the other agrees not to disclose it. Common when hiring a contractor or approaching an investor. A mutual NDA: both parties share confidential information and both agree not to disclose. Common in partnership discussions, M&A due diligence, and joint ventures.
Typical NDA duration: 1-5 years for business information, indefinite for trade secrets (trade secrets can't expire by definition). In India, courts have upheld NDAs of reasonable duration. Very short NDAs (6 months) provide minimal protection. Very long NDAs (10+ years) may be challenged as unreasonable restraint. 2-3 years is common.
